We are Milman Tech, doing business as Spotter ("Company", "we", "us", or "our"), a company registered in Australia at 35 Birdwood Street, Box Hill South, Victoria 3128.
We operate the mobile application Spotter (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
Spotter is a gym-locked, chat-free mobile app for meeting people in person at your gym. Users select a single gym, verify they are 18+ via photo ID, and check in at the gym to become visible. Members send a "green light" to signal someone may approach them; a mutual green light creates a match to meet in person. There is no in-app messaging.

These Legal Terms constitute a legally binding agreement between you and Milman Tech concerning your access to and use of the Services. By accessing the Services, you agree to be bound by all of these Legal Terms. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.
Changes to these Legal Terms become effective seven (7) days after notice is given, except changes for new functionality, security updates, bug fixes, and court orders, which are effective immediately.
The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law. Those who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (the "Content"), and the trademarks, service marks, and logos (the "Marks"). They are provided "AS IS" for your personal, non-commercial use only.
By posting Contributions (photos, profile text, etc.), you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide licence to use, copy, reproduce, distribute, display, and exploit your Contributions (including your image, name, and voice) for any purpose. You retain ownership of your Contributions. You are solely responsible for what you post, and you must not post anything illegal, harassing, hateful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, or misleading. We may remove or edit Contributions and may suspend or disable your account and report you to the authorities.
By using the Services, you represent and warrant that: (1) all registration information is true, accurate, current, and complete; (2) you will maintain its accuracy; (3) you have legal capacity and agree to these Legal Terms; (4) you are not a minor (you are at least 18); (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use will not violate any applicable law.
You may be required to register to use the Services. You agree to keep your credentials confidential and are responsible for all use of your account.
As a user of the Services, you agree not to, among other things: systematically retrieve data to build a database; trick or defraud users; circumvent security features; harass, abuse, or harm another person; make false reports of abuse; impersonate another user; interfere with the Services; upload malicious code; or use the Services to compete with us. You also specifically agree not to:
The Services may allow you to submit content. You represent and warrant that your Contributions: do not infringe third-party rights; are created/owned by you or properly licensed; have the consent of any identifiable person depicted; are not false, misleading, unsolicited advertising, obscene, harassing, or unlawful; and do not violate child-protection laws or any applicable law.
By posting Contributions, you grant us an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide licence to host, use, copy, reproduce, publish, and distribute such Contributions. We do not assert ownership over your Contributions; you retain all rights. We may edit, re-categorise, or delete Contributions at our discretion.
We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the App on devices you own or control, strictly per these Legal Terms. You shall not reverse engineer, modify, or misuse the App. Apple/Google App Distributor terms apply, and App Distributors are third-party beneficiaries entitled to enforce these terms.
We reserve the right to monitor the Services for violations, take legal action against violators (including reporting to law enforcement), restrict or disable Contributions, and otherwise manage the Services to protect our rights and ensure proper functioning.
We care about data privacy and security. Please review our Privacy Policy: https://spotter.milmantech.au/privacy. By using the Services, you agree to be bound by our Privacy Policy. The Services are hosted in Australia; by using them you consent to your data being transferred to and processed in Australia.
We respect the intellectual property rights of others. If you believe material on the Services infringes your copyright, please notify us at milmantec@gmail.com. You may be liable for damages for material misrepresentations in a notification.
These Legal Terms remain in effect while you use the Services. WE RESERVE THE RIGHT TO DENY ACCESS TO THE SERVICES TO ANY PERSON FOR ANY OR NO REASON, AND TO TERMINATE YOUR USE OR DELETE YOUR ACCOUNT AND CONTENT AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION. If terminated, you may not register a new account.
We may change, modify, or remove the contents of the Services at any time without notice, and we are not liable for any modification, suspension, or discontinuance. We cannot guarantee the Services will be available at all times.
These Legal Terms are governed by the laws of Australia. Milman Tech and you irrevocably consent that the courts of Australia have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.
You agree to irrevocably submit all disputes related to these Legal Terms to the jurisdiction of the Australia courts. Milman Tech may also bring proceedings in the courts of the country where you reside.
There may be information on the Services that contains errors, inaccuracies, or omissions. We reserve the right to correct these and to change or update information at any time, without prior notice.
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. WE ASSUME NO LIABILITY FOR ANY ERRORS, PERSONAL INJURY, PROPERTY DAMAGE, UNAUTHORISED ACCESS, INTERRUPTION, OR ANY LOSS ARISING FROM YOUR USE OF THE SERVICES.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO 100 AUD. Certain laws do not allow limitations on implied warranties; if they apply to you, some or all of the above may not apply, and you may have additional rights.
You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) breach of your representations and warranties; (5) your violation of third-party rights; or (6) any harmful act toward another user you connected with via the Services.
We will maintain certain data you transmit to manage performance of the Services. Although we perform regular backups, you are solely responsible for all data you transmit. We have no liability for any loss or corruption of such data.
Visiting the Services, emailing us, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that they be in writing.
These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any right is not a waiver. If any provision is unlawful or unenforceable, it is severable and does not affect the remaining provisions. No joint venture, partnership, or employment relationship is created.
Spotter facilitates introductions so members can meet in person at their gym. You are solely responsible for your interactions with other users. We do not conduct criminal background checks on users; identity verification confirms age only. We do not guarantee the conduct, identity, or safety of any user. You agree to take reasonable safety precautions when meeting other members in person and to meet only in public areas of the gym. To the fullest extent permitted by law, we are not liable for any harm arising from interactions or meetings between users.
